I am a corporate and commercial lawyer and the Managing Director of KGP Legal LLC. I obtained my qualification as a Singapore lawyer in 2011 and have worked in Singapore and the ASEAN region for the past seven years. My work covers the full range of general corporate and commercial law matters, from mergers and acquisitions and cross-border transactions for international and multi-national companies, including securities and other regulatory and compliance matters, down to the day-to-day legal concerns of small and medium sized enterprises in establishing operations, drafting all kinds of commercial contracts, licensing and distribution arrangements, employment law matters, leasing, intellectual property registration and protection and litigation advice and assistance.
I have assisted companies in diverse sectors such as telecommunications, software, property development, finance, construction and architecture. My M&A experience has included assisting both foreign and Singapore companies to acquire assets as well as shares in other entities and conducting extensive due diligence for both buyers and sellers. I recently completed an extensive asset sale and purchase transaction in India for a UK listed company.
In the area of securities and other regulatory work, I have considerable experience in assisting hedge funds, private equity firms, financial advisory firms as well as private family office clients in obtaining the relevant licences with the regulator in Singapore (MAS) and have assisted clients with all aspects of compliance and regulatory matters in Singapore including preparing legal opinions to MAS as well as drafting compliance manuals for fund management companies and private equity firms.
I have extensive experience in drafting corporate agreements for investors including Shareholder Agreements and Investment Agreements with a focus on protection of minority interests by way of reserve matter clauses. I advise minority shareholders on their rights under the Companies Act (Cap. 50) as well as under contract. I am fluent in English, Malay and Indonesian.
I cater to the needs of the expatriate community in Singapore for employment law advice in Singapore including employment passes (including dependent passes and letters of consent) advisory and applications, review of senior management level (C-suite) employment contracts and advising senior management on typical provisions found in employment packages of senior executives in the Asia-Pacific region, negotiating employment contract terms, harmonizing overseas employment contracts with local employment contracts that are governed under Singapore law, advising on the technical aspects of employment contracts including cumulative stock option schemes, share options scheme, staff-incentive plans. We also assist corporation to terminate employee in accordance with the Employment Act (if applicable) or contractually. We also understand the needs of expatriates when re-locating out of Singapore back to their home countries and assist in the entire process from drafting departure packages for expatriates to negotiating departure terms for expatriates.
